I have the same ethernet card as you, but do not have any trouble.
Reading your config etc., I guess that your motherboard do not have a
good support for local IOAPIC.

You may want to check if you have IO-APIC enabled in your kernel. Try to
boot with "noapic" and see if this helps. I do have a SiS based test
system with an on board RTL8139 around that doesn't behave with IO-APIC
enabled...

というのがおそらく答えで、2.4.19-686はCONFIG_X86_LOCAL_APIC=yになって
しまっていますね。
noapicをLinuxの起動オプションに指定して(liloならappend="noapic"かな)再
度8139tooで試してみてください。
